These General Terms and Conditions of Sale (the "GTCS") govern the offer and sale of SOLKAI branded products through the website solkai.it (the "Website"), operated by EmmePi S.r.l., an Italian limited liability company with registered office at Via Magenta 77, 20017 Rho (MI), Italy, VAT number IT 14405370967, REA Milan 2780696, registered with the Milano Monza Brianza Lodi Chamber of Commerce (the "Seller"). The GTCS have been drafted in compliance with Italian Legislative Decree no. 206 of 6 September 2005 (the "Italian Consumer Code"), Italian Legislative Decree no. 70 of 9 April 2003 and Directive (EU) 2019/2161 (the "Omnibus Directive") as transposed by Italian Legislative Decree no. 26 of 7 March 2023.
1. Scope
These GTCS apply exclusively to distance sales concluded through the Website between the Seller and the consumer, meaning a natural person acting for purposes outside any business, commercial, craft or professional activity (Article 3(1)(a) of the Italian Consumer Code). For orders placed by persons acting in the exercise of their professional activity ("business" customers), the conditions specifically agreed in writing apply or, in their absence, these GTCS with the disapplication of the consumer protection rules. Filling in the "VAT number" or "SDI recipient code" fields during checkout and any request for an electronic invoice constitute a declaration of such professional status.
2. Pre-contractual information
Pursuant to Articles 49 and 51 of the Italian Consumer Code, before the conclusion of the contract the Seller makes available to the consumer, in a clear and comprehensible manner, the following information:
- identity of the Seller, registered office and identifying data (set out at the beginning of this document and in the Legal Notice);
- contact details of the Seller: email info@solkai.it, phone and WhatsApp +39 349 310 6547, postal address for complaints corresponding to the registered office;
- essential characteristics of the products, set out in each product page (composition, sizes, fit, care instructions);
- total price inclusive of taxes (VAT) and, where applicable, delivery charges and any other additional cost (summarised during checkout before order submission);
- payment, delivery and contract performance arrangements, including the deadline within which the Seller undertakes to deliver the goods;
- conditions, time limits and procedures for exercising the right of withdrawal (set out in detail in the Refund and Returns Policy);
- model withdrawal form pursuant to Annex I, Part B, of Directive 2011/83/EU (attached to the Refund Policy);
- existence of the legal guarantee of conformity of 24 months under Articles 128 et seq. of the Italian Consumer Code, as amended by Italian Legislative Decree no. 170 of 4 November 2021;
- duration of the contract and, where applicable, withdrawal and termination conditions;
- any code of conduct to which the Seller adheres, if applicable (no specific code of conduct has been adopted at present);
- possibility to resort to the Online Dispute Resolution (ODR) procedure under Regulation (EU) 524/2013.
The submission of the order constitutes confirmation by the consumer of having read the pre-contractual information and these GTCS.
3. Product characteristics and availability
The essential characteristics, materials, sizes and features of the products are described in the relevant product pages on the Website. Images are illustrative and may present slight chromatic differences compared to the actual product, taking into account the colour rendering of individual viewing devices. Any accessories, decorative details (charms, pendants, metal applications) and packaging are indicated in the product page. Garments are manufactured in Italy in ateliers specialised in high-end swimwear.
The presence of a product in the online catalogue does not constitute a binding offer. Availability is verified upon order processing. Should a product be unavailable, the Seller will promptly inform the consumer by email and will refund any amount already paid within 14 days.
4. Warning on metal materials
Some garments feature decorative details in metal. Although the Seller uses finishes that are suitable for beachwear (protective electroplating), the complete absence of traces of nickel or other allergens cannot be guaranteed. Use is not recommended for individuals with a confirmed allergy to nickel or other metals. It is also recommended not to soak the metal details for prolonged periods in sea water, chlorinated pools or acidic substances, and to dry them carefully after use, as indicated in the product page and in the product care section.
5. Conclusion of the contract
The sale contract is concluded when the Seller sends the consumer, to the email address provided, the order confirmation containing the order summary, the essential characteristics of the products, the total price, delivery charges, payment details, delivery address, indication of the conditions and procedures for exercising the right of withdrawal and a copy of these GTCS on a durable medium, in accordance with Article 51(7) of the Italian Consumer Code.
Before submitting the order, the consumer views a summary, can modify it and must click the dedicated button "Order with obligation to pay" or equivalent wording, in accordance with Article 51(2) of the Italian Consumer Code. The selection of the button constitutes consent to pay the indicated price.
The Seller reserves the right not to accept or to cancel orders that present anomalies (for example: incomplete or incorrect data, suspicion of fraud, unsuccessful payment transaction, manifestly erroneous or disproportionate prices due to typing errors, orders considered anomalous in quantity or frequency, unavailability of the product). In such cases the Seller informs the consumer of the non-acceptance and refunds in full any amount already received, within 14 days of the communication.
6. Prices
Prices on the Website are expressed in Euro (€) and are inclusive of VAT, net of delivery charges, which are shown separately during checkout. The Seller reserves the right to amend prices at any time; however, for already-confirmed orders, the prices published at the time of confirmation apply. In case of price reductions, the Seller indicates the lowest price applied in the 30 days preceding the reduction, pursuant to Article 17-bis(1) of Italian Legislative Decree no. 114 of 31 March 1998 (as amended by Italian Legislative Decree no. 26/2023 implementing the Omnibus Directive).
7. Payment
Payment takes place at the time of the order, through one of the methods made available by the Seller via the Shopify platform, including by way of example: credit and debit cards (Visa, Mastercard, American Express), Shop Pay, Apple Pay, Google Pay, PayPal, bank transfer, and instalment payment solutions provided by third-party operators (e.g. Klarna, Scalapay) where enabled. Payment card data are transmitted in encrypted form directly to the payment service providers and are not accessible to the Seller, which only receives confirmation of the transaction outcome. Electronic invoicing is issued upon request, in accordance with applicable tax legislation.
8. Shipping and delivery
The shipping conditions (areas served, processing times, delivery times, costs, couriers, tracking, handling of pending deliveries) are fully described in the Shipping Policy, which forms an integral part of these GTCS. Unless otherwise agreed, the Seller delivers the goods within and no later than 30 days from the conclusion of the contract, pursuant to Article 61(1) of the Italian Consumer Code.
The risk of loss of or damage to the goods passes to the consumer only when the consumer, or a third party designated by the consumer (other than the carrier), takes physical possession of the goods, pursuant to Article 63 of the Italian Consumer Code.
9. Right of withdrawal
The consumer is entitled to withdraw from the contract, without giving any reason and without any penalty, within 14 days of receipt of the products, pursuant to Articles 52 et seq. of the Italian Consumer Code. The procedures for exercising the right, the applicable exclusions, the model withdrawal form and the refund times are fully described in the Refund and Returns Policy, which forms an integral part of these GTCS.
10. Legal guarantee of conformity
All products sold through the Website benefit from the legal guarantee of conformity provided by Articles 128 et seq. of the Italian Consumer Code, as amended by Italian Legislative Decree no. 170 of 4 November 2021 implementing Directive (EU) 2019/771. The Seller is liable to the consumer for any lack of conformity existing at the time of delivery of the goods and becoming apparent within 24 months of delivery. The defect must be notified by the consumer to the Seller within a reasonable time. In case of a confirmed lack of conformity, the consumer is entitled, under the conditions of the law, to have the goods brought into conformity by way of repair or replacement, or, in the alternative, to a proportionate reduction of the price or to terminate the contract.
To activate the guarantee, the consumer may write to info@solkai.it attaching: a copy of the order or invoice, photographs of the defect and a description of the problem. The Seller will assess the request within 5 working days and provide instructions for the return of the goods. The cost of returning the non-conforming goods is borne by the Seller.
Defects resulting from improper use, failure to comply with care instructions (e.g. prolonged soaking of the metal details in sea water or chlorine, exposure to aggressive sun creams), normal wear and tear, modifications made by the consumer or by unauthorised third parties, are excluded from the legal guarantee.
11. Complaints
The consumer may submit written complaints to amministrazione@solkai.it or by registered post to EmmePi S.r.l., Via Magenta 77, 20017 Rho (MI), Italy. The Seller will respond within 30 days of receipt of the complaint.
12. Dispute resolution
Pursuant to Article 14 of Regulation (EU) 524/2013, the consumer is informed of the possibility to resort to the European Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr. Consumers resident in Italy may also rely on the out-of-court dispute resolution procedures regulated by Part V, Title II-bis, of the Italian Consumer Code. The use of such procedures is optional and does not prevent the right to take legal action.
13. Applicable law and jurisdiction
The contract is governed by Italian law. Any dispute concerning the interpretation, validity, performance or termination of the contract shall be settled exclusively by the court of the place of residence or chosen domicile of the consumer, where located in Italy, pursuant to Article 66-bis of the Italian Consumer Code. The mandatory consumer protection rules of the EU Member State in which the consumer has habitual residence remain applicable (Article 6 of Regulation Rome I no. 593/2008).
14. Processing of personal data
The consumer's personal data are processed for the purpose of concluding and performing the contract. The purposes, legal bases, recipients and data subject rights are set out in the Privacy Policy, which forms an integral part of these GTCS.
15. Communications
Any communication between the parties relating to the sale contract may be sent, unless the law or these GTCS require a specific form, by email to the addresses indicated by the parties. Communications from the Seller to the consumer are sent to the email address indicated at the time of the order; the consumer undertakes to monitor it.
16. Changes to the GTCS
The Seller reserves the right to amend these GTCS at any time. Already-perfected orders remain governed by the terms in force at the time of conclusion of the contract. The version in force is published on the Website together with the date of last update. Amendments take effect upon publication.
17. General provisions
The invalidity or unenforceability of a single clause of these GTCS does not affect the validity or enforceability of the remaining clauses, which remain fully effective. Tolerance by one party of conduct by the other constituting a breach of these GTCS does not amount to a waiver of the rights arising from the GTCS nor of their enforcement.
