These Terms of Use (the "Terms") govern access to and use of the website solkai.it and all sub-domains, features, content and ancillary services available through it (together, the "Website"). The Website is operated by EmmePi S.r.l., with registered office at Via Magenta 77, 20017 Rho (MI), Italy, VAT number IT 14405370967 (the "Operator"). Contractual matters relating to the purchase of products offered through the Website are governed by the Terms of Sale, which prevail over these Terms with respect to the matters specifically regulated therein.

1. Acceptance of the Terms

By accessing the Website or using its contents the user fully accepts these Terms, the Privacy Policy and the Cookie Policy. Users who do not accept any of these clauses are kindly requested not to use the Website.

2. Eligibility

Use of the Website is permitted to adult users with legal capacity under Italian law. Use by minors is only permitted under the supervision and with the consent of the holder of parental responsibility, who remains responsible for the activities carried out. Only users who have reached eighteen years of age may enter into purchase contracts.

3. User account

Creation of an account is optional and gives access to certain features (order history, wishlist, saved addresses). The user warrants the truthfulness, completeness and accuracy of the data entered, undertakes to keep them up to date and to safeguard the credentials with the diligence required by their nature, not to share them with third parties and to promptly notify the Operator of any unauthorised use of the account. The Operator may suspend or revoke the account in case of breach of these Terms, fraudulent activities or violations of the law.

4. Prohibited conduct

The user undertakes to use the Website in compliance with the law, principles of good faith and fair dealing and these Terms. In particular, by way of example and without limitation, the user is prohibited from:

using the Website for unlawful, deceptive or fraudulent purposes or to induce others to breach the law;
uploading, posting or transmitting content that is false, defamatory, obscene, offensive, discriminatory or harmful to the dignity, honour or reputation of others;
infringing intellectual property or industrial rights of the Operator or of third parties;
collecting or extracting, including by automated means (scraping, crawling, harvesting), personal data or content from the Website without authorisation;
introducing viruses, malware or malicious code, carrying out denial-of-service attacks, intrusion attempts, tampering with or circumventing security measures;
using the Website's payment systems with counterfeit, stolen or third-party instruments, or placing orders in bad faith.

The Operator reserves the right to take any appropriate action, including legal proceedings, to protect its rights and those of third parties.

5. Intellectual property

All content on the Website, including texts, photographs, videos, illustrations, logos, trade marks, trade names, software, layout, source code, databases, distinctive signs and know-how, is the exclusive property of EmmePi S.r.l. or of the respective owners and is protected by national and international laws on copyright, trade marks and industrial property. The user is authorised to view and use the content exclusively for personal and non-commercial purposes, in compliance with applicable law. Any reproduction, distribution, modification, translation, communication to the public, derivative work, reverse engineering or commercial use of the content without prior written authorisation of the Operator is prohibited.

The "SOLKAI" trade mark and the product names (such as "Gaïa" and "Hecate") are trade marks of EmmePi S.r.l. or subject to exclusive licence. Any reference to third-party marks on the Website belongs to the respective owners.

6. Reviews and user-generated content

Where the Website allows users to post reviews, comments or other content, the user warrants that such content is original, truthful, does not infringe third-party rights and complies with the criteria set out by law and by these Terms. The Operator may refuse, modify or remove content that is contrary to law, public policy, public morality or these Terms. With respect to published reviews, the Operator adopts reasonable measures to verify the genuineness of the content, in compliance with Directive (EU) 2019/2161 ("Omnibus Directive") as transposed by Italian Legislative Decree no. 26 of 7 March 2023.

By posting content the user grants the Operator a non-exclusive, royalty-free, irrevocable, worldwide licence for the maximum duration allowed by law to use, reproduce, modify, adapt, publish, distribute and display the content in any form and by any means, including for promotional purposes.

7. Availability of the Website

The Operator makes every reasonable effort to ensure the availability of the Website and the accuracy of the information published on it. However, no warranty is given as to uninterrupted availability, absence of errors or perfect correspondence between the published images and the products, taking into account ordinary differences in the colour rendering of devices. The Operator reserves the right to modify, suspend or discontinue, in whole or in part, the Website or individual services, even without notice, for technical, organisational or force-majeure reasons, without any obligation to indemnify.

8. Links to third-party websites

The Website may contain links to websites operated by third parties. The inclusion of such links does not imply any approval of, or responsibility for, the related content, products or services. Visits to third-party websites are carried out under the sole responsibility of the user and in accordance with the terms of use and privacy policies of the respective operators.

9. Limitation of liability

To the extent permitted by applicable law, the Operator shall not be liable for direct or indirect damages arising from the impossibility of using the Website, loss of data or profits, service interruption or viruses that may affect the user's equipment, save in cases of wilful misconduct or gross negligence of the Operator. The Operator's liability towards consumers under mandatory provisions remains unaffected.

10. Changes to the Terms

The Operator reserves the right to amend these Terms at any time by publishing the new version on the Website, with indication of the date of last update. Amendments take effect upon publication and have no retroactive effect on orders already perfected, which remain governed by the terms in force at the time of conclusion of the contract.

11. Applicable law and jurisdiction

These Terms are governed by Italian law. Any dispute shall be settled by the court of the place of residence or chosen domicile of the consumer, pursuant to Article 66-bis of the Italian Consumer Code. For relationships with users not qualifying as consumers, the courts of Milan, Italy, shall have exclusive jurisdiction. The consumer always retains the right to refer the matter to the ODR platform under Article 14 of Regulation (EU) 524/2013 (ec.europa.eu/consumers/odr).
